Terms of Service
GIANOSA STB
1. Description of the Service
Gianosa (hereafter “the Company”) is a translation agency based in Cork. We provide different services, such as certified translations, sworn translations, localization, editing and proofreading services, quality assurance, subtitling and dubbing in a broad range of languages.
The precise scope, deadline, pricing, and specifications of Services will be agreed in writing (email, quotation, or contract) prior to commencement.
2. Acceptance of terms
By requesting, purchasing, or using our Services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use our Services.
3. Certified and sworn translations
Where certified or sworn translations are requested:
- Such services will be clearly identified in the quotation;
- Certification is provided only where legally permitted and explicitly agreed.
Clients are responsible for confirming certification requirements before ordering.
4. Client obligations
- It is the client’s responsibility to ensure that an order or specifications of a product are correct, not the Ccompany’s;
- Provide complete, accurate and lawful source material;
- Inform the company of any specific requirements, terminology, or formatting needs in advance.
5. Fees and payments
- Fees are as agreed in the quotation;
- Clients may incur a surcharge if the quality of the provided resources was misrepresented or not properly assessed at the time the quotation was provided;
- Clients may incur a surcharge if additional work is required beyond the items agreed upon in the quotation;
- Late payments may incur interest in accordance with applicable Irish law;
- The Company reserves the right to withhold delivery for overdue accounts;
- All prices are exclusive of VAT unless stated otherwise.
6. Delivery and revisions
- Delivery deadlines are estimates unless expressly agreed otherwise;
- Changes to the source text after the work has started may result in additional charges and revised deadlines.
7. Intellectual property
- Upon full payment, the client obtains rights to use the deliverables for their intended purpose, unless otherwise specified;
- The company retains ownership of translation memories, glossaries, and internal tools, unless otherwise specified;
- The Company reserves the right to reuse anonymised linguistic data for quality, training, or consistency purposes.
8. Confidentiality
We treat all client materials as confidential and will not disclose them to third parties except where legally required or with the client’s consent. If the material you need translated is highly confidential and requires careful handling (including, but not limited to, documents which should not be processed through cloud platforms, work that requires communication only through secure, encrypted channels, documents which must be deleted after a certain amount of time, etc.), the client is advised to inform us in advance. Such heightened confidentiality requirements may incur a surcharge.
9. Disclaimer
Translations and Language Services involve professional judgment and interpretation. We do not guarantee acceptance by third parties and do not provide legal, medical, or regulatory advice. Clients are responsible for verifying suitability for their intended use.
10. Limitation of liability
To the fullest extent permitted by Irish law, our total liability is limited to the amount paid for the relevant Services. We are not liable for indirect, consequential, or economic loss, or for third-party reliance on deliverables.
11. Termination
Either party may terminate for material breach. Fees for work completed up to termination remain payable.
12. Governing law
These Terms are governed by the laws of Ireland, and the Irish courts have exclusive jurisdiction.
